You can create a .iso from the CD using Sonic, Roxio, or isomagic. Then you can create a virtual drive using MS’s utility, (Link included) and mount the iso. Your PC will see the iso as a CD in the drive.

I did this with Photoshop just the other day, so I could put it on my netbook. Put your flash drive in, then put the CD in your CD drive.
For Windows: Open My Computer, go to your CD, right click and "send to" your flash drive and wait for it to copy over.
For Mac: Drag and drop your CD icon to your flash drive icon.
